Terms of Service

The agreement between you and NanoCB for use of the NanoCB ERP service.

Effective date: 27 October 2026 · Last updated: 27 October 2026

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of the NanoCB ERP service, websites and related software (together, the “Service”) provided by NanoCB (“we”, “us”). By creating a workspace, accepting an invitation or using the Service, you agree to these Terms on behalf of the organisation you represent.

2. Accounts and workspace

You must provide accurate information when creating an account and keep credentials confidential. A workspace administrator controls which companies and users are added. You are responsible for activity under your accounts. Notify us promptly at hello@nanocb.com if you suspect unauthorised access.

3. Subscriptions and fees

  • Plans and limits are described on our pricing page. Limits apply per workspace: associated companies, users and imported orders per month.
  • Fees are payable in advance. Unless agreed otherwise, subscriptions renew automatically for the same term.
  • Mainland China customers may request invoicing in CNY with a VAT special invoice.
  • Late or failed payment may result in suspension of write access after notice. Read-only access to your data remains available during suspension.

4. Trials

Trials run for the period stated at signup (normally 14 days) with Starter limits. At the end of a trial, write access stops until a paid subscription begins. We may modify or end trial programmes at any time.

5. Customer data and ownership

You own all data you or your users submit to the Service, including company details, purchase orders, order lines, documents and uploaded files (“Customer Data”). You grant us a limited licence to host, process and transmit Customer Data solely to provide and support the Service. We do not sell Customer Data.

On request within 30 days of termination we will make Customer Data available for export. After that period we may delete it from production systems, subject to backup rotation and legal retention obligations.

6. Acceptable use

  • Do not upload content you have no right to use, or data of third parties without authority.
  • Do not use the Service to create documents that misrepresent facts, transactions or customs declarations.
  • Do not attempt to access other workspaces, probe the Service for vulnerabilities without written permission, or interfere with its operation.
  • Do not resell or provide the Service to third parties except as expressly agreed.

7. Documents and compliance disclaimer

The Service generates documents and calculates figures from the data you provide. We do not verify factual accuracy of Customer Data and we do not provide legal, tax, customs or accounting advice. You remain solely responsible for the correctness of declarations, invoices, contracts and for compliance with applicable laws, including export tax refund rules. Review all generated documents before submission or signature.

8. Third-party services

The Service relies on third-party infrastructure (for example database, storage and hosting providers) listed in our Privacy Policy. Availability and performance may depend on those providers.

9. Availability and support

We aim for high availability but do not guarantee uninterrupted service. Planned maintenance will be announced where reasonably possible. Support is provided by email at hello@nanocb.com with response targets depending on your plan.

10. Suspension and termination

We may suspend or terminate access if fees are overdue, if these Terms are materially breached, or if required by law. You may terminate at any time by contacting us; prepaid fees are non-refundable except where required by law or expressly agreed.

11. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue, data or goodwill. Our aggregate liability arising from the Service is limited to the fees paid by you in the twelve months preceding the claim. Nothing in these Terms limits liability that cannot be limited by law.

12. Changes to the Service or Terms

We may update the Service and these Terms. Material changes will be notified by email or in-product at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the People’s Republic of China. The courts of Shenzhen have exclusive jurisdiction, unless mandatory local law provides otherwise.

14. Contact

This document is a practical service agreement for a commercial SaaS offering. It is not legal advice — before offering the Service to customers at scale, have it reviewed by qualified counsel for your jurisdiction.
